Terms of use for the merchant application

SHOPIFFA MERCHANT TERMS AND CONDITIONS


1. INTRODUCTION

These Merchant Terms and Conditions govern the relationship between SHOPIFFA E-Commerce Solutions Ltd ("SHOPIFFA") and any business, company, organization, sole proprietor, or individual ("Merchant") that registers to sell products through the SHOPIFFA platform.

By creating a merchant account, listing products, or using SHOPIFFA's services, the Merchant agrees to comply with these Terms and Conditions.



2. NATURE OF THE RELATIONSHIP

SHOPIFFA operates as a technology platform that facilitates transactions between customers and independent merchants.

The Merchant acknowledges and agrees that:

  • The Merchant remains the seller of all products listed on the platform.

  • The Merchant retains ownership of all products until delivered to the customer.

  • SHOPIFFA does not purchase products from the Merchant for resale.

  • SHOPIFFA does not become the owner of the Merchant's inventory.

  • SHOPIFFA acts solely as a marketplace and service facilitator.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship between SHOPIFFA and the Merchant.



3. MERCHANT ELIGIBILITY

To register as a Merchant, applicants must:

  • Be at least 18 years of age.

  • Have legal authority to operate a business.

  • Provide accurate registration information.

  • Possess all licenses, permits, and approvals required by law.

  • Comply with Ugandan laws and regulations.

SHOPIFFA reserves the right to approve or reject any application.



4. ACCOUNT REGISTRATION

Merchants must provide:

  • Business name.

  • Business address.

  • Contact information.

  • National ID or company registration documents.

  • Tax Identification Number (where applicable).

  • Banking or payment details.

The Merchant is responsible for maintaining accurate account information.



5. PRODUCT LISTINGS

Merchants may list products through their merchant accounts.

The Merchant is solely responsible for:

  • Product descriptions.

  • Product images.

  • Product pricing.

  • Product specifications.

  • Product warranties.

  • Product quality.

  • Product availability.

Merchants must ensure all information provided is accurate and not misleading.



6. PROHIBITED PRODUCTS

Merchants shall not list or sell:

  • Illegal products.

  • Counterfeit products.

  • Stolen goods.

  • Dangerous goods prohibited by law.

  • Expired medicines.

  • Fraudulent products.

  • Products that infringe intellectual property rights.

  • Any products prohibited by SHOPIFFA policies.

SHOPIFFA may remove prohibited listings without notice.



7. PRODUCT OWNERSHIP

The Merchant confirms that:

  • All listed products belong to the Merchant or are legally authorized for sale.

  • The Merchant has authority to sell all listed products.

  • The Merchant bears all risks associated with product ownership.

Ownership of products remains with the Merchant until transferred to the customer.



8. PRICING

Merchants determine their own product prices.

The Merchant is responsible for:

  • Pricing accuracy.

  • Price updates.

  • Promotional pricing.

  • Compliance with applicable laws.

SHOPIFFA may require correction of obvious pricing errors.



9. TAXES

The Merchant is solely responsible for:

  • VAT obligations.

  • Income taxes.

  • Withholding taxes.

  • Local government taxes.

  • Any other taxes arising from product sales.

The Merchant shall account for and remit all applicable taxes in accordance with Ugandan law.

SHOPIFFA's fees and commissions, where applicable, may be subject to taxes under applicable laws.



10. ORDER FULFILLMENT

Upon receiving an order, the Merchant shall:

  • Prepare products promptly.

  • Ensure product accuracy.

  • Ensure products are in saleable condition.

  • Package products appropriately.

  • Cooperate with delivery arrangements.

Repeated order fulfillment failures may result in account restrictions.



11. DELIVERY COORDINATION

SHOPIFFA may coordinate delivery through independent order deliverers.

Merchants agree to:

  • Hand over correct products.

  • Verify order details before dispatch.

  • Cooperate with riders and logistics personnel.

SHOPIFFA does not guarantee specific delivery times.



12. RETURNS, REFUNDS, AND CUSTOMER COMPLAINTS

Merchants shall cooperate in resolving:

  • Product defects.

  • Wrong product deliveries.

  • Missing products.

  • Product quality disputes.

Merchants may be required to accept returns or issue refunds where justified under applicable law or SHOPIFFA policies.



13. MERCHANT CONDUCT

Merchants shall not:

  • Mislead customers.

  • Manipulate reviews.

  • Engage in fraudulent activity.

  • Circumvent the platform to avoid agreed fees.

  • Abuse customers, riders, or SHOPIFFA staff.

  • Misrepresent products.



14. COMMISSIONS AND FEES

The Merchant agrees to pay applicable:

  • Platform commissions.

  • Subscription fees.

  • Service fees.

  • Advertising fees.

  • Other fees agreed between SHOPIFFA and the Merchant.

SHOPIFFA may update fees upon reasonable notice.



15. VERIFICATION

SHOPIFFA may require verification of:

  • Identity.

  • Business ownership.

  • Product authenticity.

  • Regulatory compliance.

Failure to complete verification may result in suspension or termination.



16. INTELLECTUAL PROPERTY

Merchants grant SHOPIFFA a non-exclusive license to display:

  • Product names.

  • Product descriptions.

  • Product images.

  • Business names.

  • Logos.

For the purpose of operating and marketing the platform.



17. ACCOUNT SUSPENSION

SHOPIFFA may suspend or terminate a Merchant account for:

  • Fraud.

  • Repeated customer complaints.

  • Sale of prohibited products.

  • Violation of these Terms.

  • Failure to complete verification.

  • Conduct that damages the platform's reputation.



18. LIMITATION OF LIABILITY

SHOPIFFA shall not be liable for:

  • Loss of profits.

  • Loss of business opportunities.

  • Customer purchasing decisions.

  • Merchant inventory losses.

  • Indirect or consequential damages.

SHOPIFFA's liability shall be limited to the extent permitted by law.



19. INDEMNIFICATION

The Merchant agrees to indemnify and hold harmless SHOPIFFA, its directors, officers, employees, agents, and affiliates from claims, damages, liabilities, penalties, losses, or expenses arising from:

  • Merchant products.

  • Merchant conduct.

  • Tax obligations.

  • Regulatory violations.

  • Breach of these Terms.



20. CONFIDENTIALITY

Merchants shall keep confidential any non-public information obtained through the platform and shall not misuse customer information.



21. GOVERNING LAW

These Terms and Conditions shall be governed by and interpreted under the laws of the Republic of Uganda.



22. AMENDMENTS

SHOPIFFA may amend these Terms from time to time.

Continued use of the platform after amendments constitutes acceptance of the revised Terms.

SHOPIFFA MERCHANT APP PRIVACY POLICY

This Privacy Policy applies to the Shopiffa Merchant mobile application (the "Merchant App"), which is provided by SHOPIFFA e-commerce solutions Ltd ("SHOPIFFA," "we," "us," or "our") for merchants, store owners, and authorized merchant staff who use Shopiffa to manage their business operations.

By creating an account, signing in, or using the Merchant App, you agree to the collection, use, disclosure, and storage of information as described in this Privacy Policy.

1. Information We Collect

We collect information you provide directly, information created through your use of the Merchant App, and certain technical information needed to operate and secure the service.

Information you provide to us

This may include:
- your name, store name, owner name, email address, phone number, and login credentials;
- your business profile information, such as category, business location, logo, and profile image;
- merchant onboarding or verification information, including documents you choose to upload;
- payment and payout information, such as mobile money details, bank account details, and related merchant payment settings;
- product information you create or upload, including names, descriptions, prices, stock levels, variants, categories, images, and videos;
- communications you send to SHOPIFFA support.

Information generated through your use of the Merchant App

This may include:
- order information, order status updates, cancellations, acceptance decisions, and fulfillment-related activity;
- merchant analytics and performance data, such as sales summaries, product performance, reviews, low-stock alerts, and payout history;
- notification data, including in-app notifications and the content or metadata needed to deliver them;
- records of password changes, account actions, terms acceptance status, and account deletion requests.

Automatically collected and technical information

When you use the Merchant App, we may collect limited technical information such as:
- device and app information, including app version and basic diagnostic or log data;
- push notification tokens used to send operational alerts and updates;
- authentication session data required to keep you signed in securely;
- usage information needed to troubleshoot issues, protect the service, and improve app performance.

Location-related information

The Merchant App may use address lookup and autocomplete features powered by Google Places to help merchants enter or update business location details. Search queries or address selections you submit through those fields may be processed by Google in accordance with Google's own privacy practices.

2. How We Use Information

We use your information to operate, maintain, and improve the Merchant App and related Shopiffa merchant services. In particular, we may use information to:
- create, authenticate, and manage merchant accounts;
- verify merchant identity or business details;
- display and manage store profiles, products, inventory, pricing, and media uploads;
- process, route, and manage orders and related merchant workflows;
- calculate revenue summaries, analytics, and payout information;
- send push notifications, operational alerts, account notices, and service communications;
- respond to support requests and communicate with you about your account;
- detect abuse, fraud, unauthorized access, and other security issues;
- enforce our terms, internal policies, and applicable legal requirements;
- improve the functionality, reliability, and user experience of the Merchant App.

3. When Information May Be Visible to Others

Some merchant information is intended to be visible within the Shopiffa platform so the service can function. For example:
- your store name, product listings, prices, descriptions, and product media may be visible to customers;
- order-related information may be visible to relevant customers, delivery personnel, and authorized SHOPIFFA personnel as needed to process and fulfill orders;
- support or operations teams may access account information when assisting with onboarding, verification, disputes, or technical issues.

We do not sell your personal information to third parties.

4. Third-Party Services and Service Providers

The Merchant App relies on third-party services to provide core functionality. These may process data on our behalf and under their own terms and privacy practices. Based on the current Merchant App implementation, these services include:
- Supabase, for authentication, database services, and file storage;
- Firebase Cloud Messaging, for push notifications;
- Google Places, for address autocomplete and location search features.

Third-party providers may process information only as needed to provide their services to us, unless they have their own independent relationship with you.

5. How We Share Information

We may share information:
- with service providers and vendors who help us operate the Merchant App;
- within the SHOPIFFA platform when necessary to support merchant operations, order handling, fulfillment, support, and compliance;
- when required by law, regulation, court order, subpoena, or lawful government request;
- when we believe disclosure is necessary to protect rights, safety, investigate fraud, or enforce our agreements;
- in connection with a merger, financing, restructuring, acquisition, sale of assets, or similar business transaction.

6. Data Retention

We retain information for as long as needed to provide the Merchant App and related merchant services, maintain business and transaction records, comply with legal obligations, resolve disputes, and enforce our agreements.

If you stop using the Merchant App or request deletion of your account, we may delete or anonymize certain information, but we may retain information that is reasonably necessary for legitimate business purposes, security, fraud prevention, tax, accounting, legal compliance, dispute resolution, or recordkeeping.

7. Your Choices and Rights

Depending on how you use the Merchant App, you may be able to:
- review and update certain merchant profile information in the app;
- update your password from within the app;
- manage some notification preferences through your device settings;
- request access to, correction of, or deletion of certain personal information;
- delete your merchant account through available in-app flows or by contacting us.

Please note that deleting your account may not immediately remove all records where retention is required for legal, operational, fraud-prevention, or financial reconciliation purposes.

8. Security

We use reasonable administrative, technical, and organizational safeguards to protect information processed through the Merchant App. However, no system can be guaranteed to be completely secure, and you are responsible for keeping your login credentials confidential and for notifying us promptly if you believe your account has been compromised.

9. Children's Privacy

The Merchant App is intended for merchants, business owners, and authorized business representatives. It is not intended for children, and we do not knowingly collect personal information from children through the Merchant App for merchant-account use.

10. International and Regional Use

The Merchant App is operated by SHOPIFFA and is intended primarily for use in SHOPIFFA's operating markets, including Uganda. By using the Merchant App, you understand that your information may be processed and stored in jurisdictions where our service providers operate.

11. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. When we do, we will post the revised version and update the "Last updated" date above. Your continued use of the Merchant App after changes become effective means you accept the updated Privacy Policy.
